DISCLAIMER AND LIMITATION OF LIABILITY

The software, tools, models, recommendations, predictions, analyses, and any other outputs (collectively, "Services") provided by Chemetrian, LLC are generated through computational methods including, but not limited to, machine learning models, artificial intelligence algorithms, statistical analysis, and optimization software, and are intended for informational purposes only.

By accessing, using, or implementing any Services provided by Chemetrian, LLC, the receiving party ("Client") acknowledges and agrees to the following terms:

1. Safety and Experimental Responsibility

Client assumes full and complete responsibility for all safety considerations, risk assessments, experimental procedures, operational decisions, and implementation strategies related to the use of any Services.

Chemetrian, LLC makes no representations or warranties regarding the safety, feasibility, suitability, or appropriateness of any recommendations, predictions, or outputs for Client's specific facilities, equipment, materials, personnel, operational requirements, or intended applications.

2. Software and Model Limitations

Client acknowledges that:

• All software and computational models have inherent limitations, uncertainties, and potential for error
• Model outputs are constrained by the data, parameters, and assumptions used in their development and operation
• Results may not be applicable outside the intended scope, validated ranges, or training data domains
• Software performance depends on data quality, completeness, and relevance to the specific application
• Models cannot account for all variables, unknown factors, or unanticipated conditions that may affect real-world outcomes

3. No Guarantees of Results

Chemetrian, LLC makes no warranties, express or implied, regarding the accuracy, completeness, reliability, reproducibility, or success of any outcomes, predictions, recommendations, or results derived from our Services.

Actual results may vary significantly based on equipment variations, material quality and purity, operator skill and training, environmental conditions, measurement errors, and other factors beyond the control or scope of our models and software.

4. Client Validation and Verification

Client is solely responsible for:

• Independently validating and verifying all outputs, recommendations, and predictions before implementation
• Conducting appropriate risk assessments and safety reviews
• Ensuring all activities comply with good laboratory practices and industry standards
• Confirming the suitability and appropriateness of any recommendations for their specific use case
• Testing and validating results in controlled, safe conditions before full-scale implementation

5. Regulatory and Compliance Responsibility

Client is solely responsible for ensuring all procedures, experiments, processes, and applications comply with all applicable local, state, national, and international regulations, standards, and guidelines.

This includes but not limited to safety regulations, environmental protection laws, pharmaceutical manufacturing standards (GMP, FDA, etc.), chemical handling requirements, data protection regulations, and industry-specific compliance requirements.

6. Data Privacy and Security

Client is responsible for ensuring that any data provided to Chemetrian, LLC complies with applicable data protection and privacy laws.

Chemetrian, LLC is not liable for any unauthorized access, use, or disclosure of data resulting from Client's failure to implement appropriate security measures or from factors outside Chemetrian's reasonable control.

7. Software Performance and Availability

Chemetrian, LLC does not guarantee uninterrupted, error-free, or secure operation of any software or services. Technical issues, bugs, compatibility problems, or service interruptions may occur.

Client is responsible for maintaining appropriate backup systems and contingency plans.

8. Intellectual Property and Proper Use

Client agrees to use Services only for lawful purposes and in accordance with applicable laws and regulations.

Client shall not use Services to develop competing products, reverse engineer proprietary algorithms, or engage in any activity that infringes upon intellectual property rights or violates applicable laws.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHEMETRIAN, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER INTANGIBLE LOSSES) ARISING FROM OR RELATED TO THE USE OF, INABILITY TO USE, OR RELIANCE UPON ANY SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF CHEMETRIAN, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

Client agrees to indemnify, defend, and hold harmless Chemetrian, LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Client's use of the Services, violation of these terms, or infringement of any third-party rights.

11. Entire Agreement and Severability

This disclaimer constitutes the entire understanding between Chemetrian, LLC and Client regarding the Services.

If any provision is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
